These Terms and Conditions govern access, use, quote requests, purchase, and contracting of products and services offered under the trade name ECE Distributors, operating legally under the sole proprietor Esthela Castañeda Esquer with Federal Taxpayer Registry (RFC) CAEE7511174W6, a company dedicated to the import, distribution, and sale of accessories, tools, and supplies for institutional, hospitality, restaurant, industrial, and commercial cleaning.

For purposes of this document, "ECE" refers to the sole proprietor operating commercially under these names.

1. Acceptance of Terms

By accessing the website, requesting a quote, submitting information through forms, WhatsApp, email, or social media, issuing a purchase order, making a payment, or receiving merchandise, the customer acknowledges having read and accepted these Terms and Conditions. Where a signed quote, contract, purchase order, or agreement exists, that document will prevail with respect to the specifically agreed particular conditions.

2. Users and Customers

ECE's products and services are primarily directed at distributors, cleaning companies, hotels, restaurants, institutions, businesses, industries, and other business customers. A person acting on behalf of a company represents that they have sufficient authority to request quotes, authorize orders, and accept commercial obligations.

3. Products and Services

ECE sells cleaning accessories, tools, and supplies, distribution products, and third-party items. Photographs, colors, dimensions, packaging, descriptions, and published spec sheets are illustrative and may show reasonable variations due to manufacturing processes, availability, supplier updates, or commercial presentation, without this constituting a breach when the product retains its essential characteristics.

4. Quotes and Validity

Quotes are valid for the period indicated in each document. When not specified, they will be considered valid for fifteen calendar days. Prices may change due to availability, raw material costs, exchange rate, transportation, taxes, requested volume, or supplier conditions. A quote does not reserve inventory until ECE confirms the order and, where applicable, receives the required deposit or payment.

5. Prices and Taxes

Prices will be expressed in Mexican pesos or U.S. dollars, as indicated. Unless the quote expressly states otherwise, prices do not include VAT, shipping, special handling, insurance, customs duties, or additional charges. The customer must verify currency, taxes, quantities, and conditions before authorizing the order.

6. Orders and Confirmation

Every order is subject to inventory validation, credit conditions, billing information, delivery address, and confirmation by ECE. Receipt of a purchase order or proof of payment does not imply automatic acceptance when there is an evident price error, lack of inventory, incomplete data, logistical impossibility, or suspicion of an irregular transaction. ECE will notify the customer to correct, substitute, reschedule, or cancel the transaction.

7. Payment Methods and Conditions

Payments must be made through the means authorized in the quote or invoice. For special, custom, made-to-order, or bulk orders, ECE may require a deposit. The balance must be settled according to the agreed conditions. Payments will be considered made once funds are actually available. Bank fees, commissions, withholdings, or exchange rate differences will be borne by the party to which they correspond according to the transaction.

8. Commercial Credit

Credit authorization is subject to investigation, documentation, references, and internal policies. ECE may modify, suspend, or cancel a credit line due to delays, changes in payment capacity, or defaults. Overdue balances may generate late payment interest and collection costs when so established in the applicable quote, contract, invoice, or credit order.

9. Delivery and Logistics

Delivery dates are estimates and begin counting from order confirmation, receipt of deposit, sample approval, or complete delivery of information, as applicable. ECE will make reasonable efforts to meet them, but will not be responsible for delays attributable to carriers, customs, suppliers, lack of raw materials, blockades, natural phenomena, infrastructure failures, acts of authority, or causes beyond its control. Ownership and risk of the merchandise transfer according to the agreed delivery point.

10. Receipt and Inspection of Merchandise

The customer must check quantities, packaging, and apparent condition upon receiving the merchandise. Any shortage, visible damage, or discrepancy must be noted on the delivery receipt and reported in writing within the following forty-eight hours, accompanied by photographs, invoice, order number, and corresponding evidence. Signing for receipt without observations may be considered acceptance of the delivery with respect to visible defects.

11. Returns and Exchanges

Returns will not be accepted without prior written authorization from ECE. Products must be kept unused, complete, in their original packaging, and in resalable condition. Returns will not proceed for custom, made-to-order, discontinued, clearance, contaminated, improperly stored, or misuse-damaged products. Collection, shipping, inspection, or restocking costs may be charged to the customer when the return does not result from an error attributable to ECE.

12. Warranties

ECE will address manufacturing defects within the period indicated on the invoice, spec sheet, or manufacturer's warranty. The warranty does not cover normal wear, abuse, incorrect installation, alterations, unauthorized repairs, contact with incompatible substances, improper storage, or use other than recommended. ECE may repair, replace, issue a credit note, or refund the affected product, as appropriate and in accordance with applicable law.

13. Product Use and Safety

The customer is responsible for verifying that products are suitable for the intended use, training its personnel, and following the manufacturer's spec sheets, warnings, manuals, and recommendations. Cleaning accessories must be used with compatible equipment, surfaces, loads, and substances. ECE will not be responsible for damages resulting from incorrect selection, negligent use, modifications, or failure to follow instructions.

14. Custom Products and Private Labels

Orders with special color, size, packaging, printing, label, logo, or specification require prior customer approval. Once a sample, digital proof, spec sheet, or specification has been authorized, subsequent changes may generate costs and modify timelines. The customer guarantees it holds sufficient rights over trademarks, designs, texts, and files it provides, and will keep ECE free from third-party claims.

15. Intellectual Property

Trademarks, trade names, photographs, catalogs, spec sheets, designs, texts, and content of ECE are for the exclusive use of the sole proprietor in question, as well as of the commercial enterprise ECE Distributors. Their publication does not grant a license to copy, modify, distribute, or exploit such materials. Third-party products retain the trademarks and rights of their respective owners.

16. Website and Electronic Communications

The user agrees to use the site and digital channels lawfully. The user may not attempt to breach systems, introduce harmful code, collect data without authorization, impersonate identities, or use content for fraudulent purposes. Quotes, acceptances, orders, and communications sent through electronic means may have commercial effect when they allow the parties to be identified and the content of the transaction to be preserved.

17. Availability and Errors

ECE may update products, prices, inventories, and content without prior notice. In the event of typographical, technical, price, or availability errors, ECE may correct the information before definitively accepting the order. If a payment has already been made, the customer will be offered the corresponding correction, substitution, rescheduling, or refund.

18. Personal Data Protection

Personal data will be processed in accordance with ECE Distribuidores de México's Privacy Notice. The customer should consult that notice to learn about the purposes, transfers, protective measures, and mechanisms for exercising access, rectification, cancellation, and objection rights.

19. Limitation of Liability

To the extent permitted by applicable law, ECE's liability for a transaction will be limited to the value actually paid for the product that gave rise to the claim. ECE will not be liable for indirect damages, loss of profits, business interruption, loss of opportunities, or damages resulting from improper use of the product. This limitation will not apply where the law establishes non-waivable liability.

20. Force Majeure

Neither party will be liable for breaches resulting from unforeseeable or unavoidable events beyond its reasonable control. The affected party must report the situation and take reasonable measures to mitigate its effects. Deadlines will be extended for as long as the cause persists.

21. Order Cancellation

Cancellation must be requested in writing. ECE may accept or reject it depending on the progress of manufacturing, preparation, or shipping. Deposits for special or custom products may be applied to costs already incurred and may be non-refundable. When cancellation is attributable to ECE and no accepted alternative exists, the corresponding amounts will be refunded.

22. Compliance and Business Practices

The parties agree to act in good faith, comply with applicable law, and refrain from offering or accepting improper payments. ECE may cancel transactions where there are reasonable indications of fraud, money laundering, impersonation, illicit resale, violation of trade sanctions, or use contrary to law.

23. Modifications

ECE may update these Terms and Conditions to reflect operational, technological, or legal changes. The current version will be published through its official channels and will apply to transactions carried out after publication. Previously accepted orders will be governed by the conditions in effect at the time of their confirmation, unless otherwise agreed.

24. Governing Law and Jurisdiction

These Terms will be interpreted in accordance with the laws of the United Mexican States. For commercial transactions between businesses, the parties submit to the competent courts of Tijuana, Baja California, waiving any other jurisdiction that may correspond to them by present or future domicile, unless otherwise agreed in writing. Where consumer protection law applies, the rights and competent authorities recognized by such law for consumers will remain in effect.
